Linksflow, Inc. and its affiliates, collectively “Linksflow,” “we” or “our,” provide URL shortening, custom-branded link, link management, link-in-bio, QR code and analytics products and services to our users, collectively the “Linksflow Services.”
Please read these Terms of Service, the “Agreement,” carefully, as they govern your access to and use of the Linksflow Services and constitute a binding legal agreement between you and Linksflow. If you accept this Agreement or use the Linksflow Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to the Agreement and, in such event, “you,” “your” or “Customer” will refer to that company or other legal entity.
If you have been granted access to and use of the Linksflow Services by and on behalf of the primary account holder, whether directly or through an administrator, you also agree to abide by this Agreement.
In addition to this Agreement, your use of the Linksflow Services is governed by the Linksflow Privacy Policy, the Linksflow Acceptable Use Policy and Linksflow’s DMCA Copyright Policy.
YOU ACKNOWLEDGE AND AGREE THAT, BY CREATING A LINKSFLOW ACCOUNT, PURCHASING A PAID ACCOUNT, OR ACCESSING OR USING THE LINKSFLOW SERVICES AND APPLICATION PROGRAM INTERFACES, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND THE LINKSFLOW ACCEPTABLE USE POLICY. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE LINKSFLOW SERVICES.
THIS AGREEMENT CONTAINS AN ARBITRATION PROVISION AND CLASS ACTION WAIVER AS DESCRIBED IN SECTION 12.1 BELOW. YOU AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
SCOPE AND MODIFICATIONS
1.1 Modifications. Linksflow reserves the right, in its sole discretion, to modify or replace this Agreement at any time. If we modify this Agreement, we will post the modification on our site and update the Last Updated date at the top of the Terms of Use or provide you with notice of the modification in the Linksflow platform. Any change to this Agreement will be effective as of the Last Updated date at the top of this page. By continuing to access or use the Linksflow Services after the Last Updated date, you are indicating that you agree to be bound by the modified Agreement. You agree that it is your responsibility to check this Agreement periodically for changes and that your use of the Linksflow Services following the posting of any changes to this Agreement constitutes acceptance of those changes. If the modified Agreement is not acceptable to you, your only recourse is to cease using the Linksflow Services.
1.2 Service Changes. Linksflow may add, remove, suspend, discontinue, modify or update the Linksflow Services at any time, at its discretion. After the effective date of such a change, Linksflow shall bear no obligation to run, provide or support legacy versions of any affected Linksflow Services.
1.3 Customer Support. Linksflow provides a help center for all users. More details about additional support services can be found in the help center accessible through the platform.
PAID ACCOUNTS
2.1 Fees. Linksflow offers fee-based Linksflow Services that provide additional features and functionality. If you sign up for a paid account, you agree to pay Linksflow all applicable fees for the tier of Linksflow Services according to your selection. Fees are non-refundable except as required by law or as otherwise specifically permitted in this Agreement.
2.2 Subscription Period. Paid account plans will be charged at the rate stated at the time of initial purchase on a recurring basis corresponding to the term of your subscription until you cancel. Fees are subject to change and Linksflow will notify you of any pricing change prior to processing your next recurring charge. You may cancel your paid account subscription at any time. However, unless required by law, no refunds or credits will be provided for any early termination or for any non-use of the Linksflow Services. Linksflow reserves the right to update, change, modify or terminate your subscription benefits at any time in its sole discretion.
2.3 Payment. You will pay Linksflow on the payment interval selected. If not otherwise specified, payments will be due immediately. You authorize Linksflow to charge you for all applicable fees on a recurring basis using your selected payment method through Linksflow’s online payments platform. By providing a saved payment method in your account, you expressly acknowledge and authorize Linksflow, or our third party online payment processor, to charge you on a recurring basis corresponding to the term of your subscription unless you cancel your paid account subscription.
You are responsible for any and all fees charged to your payment method. You will provide complete and accurate billing and contact information to Linksflow. Linksflow may make changes to the offered payment method from time to time. It is your responsibility to update your payment information if necessary due to such changes. Linksflow may suspend, downgrade or terminate the Services if fees are past due. Unpaid fees are subject to a finance charge of one and one half percent per month, or the maximum permitted by law, whichever is lower. In addition, Linksflow will be entitled to recover its expenses for collection, including reasonable attorneys’ fees. Failure to pay fees or renewal fees when due may lead to termination, cancellation or suspension of Services.
FOR THE AVOIDANCE OF DOUBT, LINKSFLOW MAY SUBMIT PERIODIC CHARGES CORRESPONDING TO THE TERM OF YOUR SELECTED SUBSCRIPTION WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU AFFIRMATIVELY CANCEL YOUR SUBSCRIPTION SERVICES OR NOTIFY LINKSFLOW THAT YOU WISH TO CHANGE YOUR PAYMENT METHOD INFORMATION.
2.4 Taxes. Fees are exclusive of taxes, duties, levies, tariffs and other governmental charges, collectively Taxes, and you are responsible for all Taxes resulting from this Agreement or your use of the Linksflow Services. Linksflow will invoice you for Taxes when required to do so by applicable law, and you agree to provide payment under the terms of the invoice.
USE OF SERVICES
3.1 Use of Linksflow Services. Subject to the terms and conditions of this Agreement and payment of all fees due hereunder, Linksflow grants you a non-exclusive, non-transferable, limited right to access and use the Linksflow Services in accordance with our Acceptable Use Policy. For the avoidance of any doubt, you agree that you will not access the Linksflow Services for competitive purposes or if you are a competitor of Linksflow.
3.2 Access Credentials. Linksflow shall provide you with non-transferable access credentials for the Linksflow Services. You will not share access credentials or exceed the user limitations of the service tier you have purchased. You will safeguard all access credentials provided by Linksflow and shall ensure their confidentiality and security.
3.3 Compliance Monitoring. Linksflow may monitor your use of the Linksflow Services for compliance with the Agreement and to ensure compliance with our Acceptable Use Policy. If Linksflow observes usage that it believes is not in compliance with the Agreement, Linksflow may remove or disable any links, codes or other Linksflow Services suspected of violating our Acceptable Use Policy or this Agreement. Linksflow also reserves the right to suspend your use of the Linksflow Services without notice if we believe in good faith that the security of your Linksflow account has been compromised or is being used for an unlawful purpose or in violation of our Acceptable Use Policy.
YOUR SERVICES AND CONTENT
4.1 Your Service. Linksflow shall have no liability for any of your products, content or services accessed through or making use of the Linksflow Services. You will not use the Linksflow Services in any manner implying partnership with, sponsorship by, or endorsement of your services by Linksflow. You will not suggest or imply that Linksflow is the author of or otherwise responsible for the views or content of your services.
4.2 Your Content. You hereby grant to Linksflow an irrevocable, perpetual, non-exclusive, sublicensable, transferable, royalty-free, worldwide license to use, copy, import, display, reproduce, perform, distribute, create derivative works, alter or modify all URLs and other information provided by you to Linksflow in connection with the provision, operation and promotion of the Linksflow Services and for other business purposes, including those of Linksflow group companies.
INTELLECTUAL PROPERTY
5.1 Ownership. Except for your content and your services, you acknowledge and agree that Linksflow is the sole and exclusive owner of all rights, title and interest in and to the Linksflow Services and all related materials, documentation and intellectual property.
5.2 Feedback. If you provide feedback, feature requests, changes, tools, comments, suggestions or ideas for improving the service, such feedback will be fully assigned to Linksflow without any obligation for separate compensation, and Linksflow shall own all rights, title and interest to the feedback.
TERM AND TERMINATION
6.1 Term. This Agreement shall commence on the date you accept this Agreement by creating an account or purchasing a paid service tier and remain in effect until terminated in accordance with this section.
6.2 Right to Terminate. During the term, you may terminate this Agreement at any time as set forth above. However, you shall not receive a refund or reimbursement of any fees paid for the then-current billing cycle or any prior billing cycles.
CONFIDENTIALITY
Each party agrees to take reasonable precautions to protect confidential information disclosed by the other party and not to use or disclose such information except as permitted under this Agreement.
DATA PROTECTION
8.1 Data Privacy. You expressly acknowledge and agree that it is your responsibility to comply with all applicable privacy and data protection laws, including GDPR, CCPA, CPRA, Colorado Privacy Act and any other applicable privacy laws.
8.2 Data Processing. In the event that Linksflow processes personal data as a processor on your behalf and applicable law requires a data processing agreement, the DPA attached to these Terms of Service as Appendix A shall apply and form an integral part of this Agreement.
8.3 Privacy. Linksflow may collect and process personal data regarding you and your personnel in connection with the service. Such processing is described in Linksflow’s Privacy Policy. Linksflow may share such information with partners, vendors and service providers, including for analytics, support, security, fraud prevention, spam prevention, advertising, email marketing, transaction completion and compliance purposes.
REPRESENTATIONS AND WARRANTIES
You represent and warrant that your content and all information you provide in connection with the Services will comply with all applicable laws and will not infringe any third party rights.
9.3 DISCLAIMERS. LINKSFLOW SERVICES ARE PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LINKSFLOW DOES NOT WARRANT THAT THE LINKSFLOW SERVICES WILL BE SECURE, AVAILABLE, ACCURATE, ERROR FREE, UNINTERRUPTED OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
INDEMNIFICATION
You will defend, indemnify and hold harmless Linksflow, its affiliates and related parties from and against any third party claims, damages, liabilities and costs arising out of or related to your content, your services, your breach of this Agreement or violation of law.
LIMITATION OF LIABILITY
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS, ARISING OUT OF OR RELATED TO THE LINKSFLOW SERVICES OR THIS AGREEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
GOVERNING LAW, VENUE AND DISPUTES
For U.S. and non-EU customers, this Agreement will be governed by the laws of the State of New York and applicable federal law, without regard to conflicts of law rules. For EU customers, this Agreement will be governed by the laws of Germany, without regard to conflict of laws principles.
MISCELLANEOUS
The parties are independent contractors. This Agreement constitutes the entire agreement between the parties and supersedes prior communications regarding the subject matter. Linksflow may use your name, trademarks or logos in customer lists and marketing materials to identify you as a customer that uses Linksflow Services.
GERMAN PERSONAL USE CUSTOMERS
Any references in this section to prior Biofy entities, policies or addresses should be updated to the applicable Linksflow entity, support contact and legal contact details. All email references should be replaced with [email protected].
APPENDIX A TO LINKSFLOW TERMS OF SERVICE
DATA PROCESSING AGREEMENT
This Data Processing Agreement forms part of the Agreement between Linksflow, Inc. or the relevant Linksflow affiliate and Customer for the provision of products, platform and services by Linksflow.
In the course of providing the Services pursuant to the Agreement, Linksflow may process customer personal information on behalf of Customer. The parties agree to comply with the provisions of this DPA with respect to such processing.
All references to Biofy in the DPA, schedules and standard contractual clauses should be read as Linksflow, and all support or privacy email addresses should be replaced with [email protected].
APPENDIX A TO LINKSFLOW TERMS OF SERVICE
DATA PROCESSING AGREEMENT
This Data Processing Agreement, or DPA, forms part of the Agreement between Linksflow, Inc. or the relevant Linksflow affiliate identified in the Agreement or any applicable Order Form, and Customer, for the provision of products, platform and services by Linksflow.
In the course of providing the Services pursuant to the Agreement, Linksflow may process Customer Personal Information on behalf of Customer. The parties agree to comply with the following provisions with respect to such processing.
DEFINITIONS
Capitalized terms not otherwise defined in this DPA have the meaning given in the Agreement.
Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.
Customer Personal Information means any Personal Information that is provided by Customer to Linksflow or any Subprocessor and processed by Linksflow or a Subprocessor on behalf of Customer pursuant to the Agreement.
Data Protection Laws means, as applicable, the GDPR, the UK GDPR, the CCPA, and any other relevant law, regulation or binding instrument relating to data protection, privacy or the use of personal information.
Personal Information means information that identifies, relates to, describes, is capable of being associated with, or can reasonably be linked, directly or indirectly, with a particular individual or household, or is otherwise defined as personal information or personal data by applicable Data Protection Laws.
Subprocessor means any third party appointed by Linksflow to process Customer Personal Information on behalf of Customer in connection with the Agreement.
PROCESSING OF PERSONAL INFORMATION
2.1 Roles of the Parties
With respect to the processing of Customer Personal Information under this DPA:
If the processing is subject to the GDPR or UK GDPR, Customer is the Controller and Linksflow is the Processor, or Customer is the Processor and Linksflow is the Subprocessor, as applicable.
Where Customer is a Business under applicable U.S. privacy laws, Linksflow acts as a Service Provider and will not collect, retain, use or disclose Customer Personal Information except as necessary to perform the business purposes permitted by law and the Agreement.
2.2 Customer Responsibilities
Customer shall not provide Personal Information to Linksflow except as necessary for Linksflow’s performance of the Services and unless Customer has provided required notices, obtained required consents, and otherwise complied with applicable Data Protection Laws.
Customer remains solely responsible for the accuracy, quality and legality of Customer Personal Information and the means by which it was obtained.
2.3 Linksflow Processing Obligations
Linksflow shall treat Customer Personal Information as confidential and shall process it only as necessary to perform its obligations under the Agreement and in accordance with Customer’s documented instructions, applicable law, and the permitted purposes under the Agreement.
Linksflow shall not:
Sell Customer Personal Information
Retain, use or disclose Customer Personal Information for any purpose other than the permitted purposes
Retain, use or disclose Customer Personal Information outside the direct business relationship between Linksflow and Customer
Linksflow may use Customer Personal Information in aggregated or deidentified form to the extent permitted by applicable law.
2.4 Details of Processing
The subject matter of processing is the performance of the Services under the Agreement.
The duration, nature and purpose of processing, the types of Customer Personal Information, and the categories of Data Subjects are described in Schedule 1.
2.5 Instructions for Processing
Customer instructs Linksflow and its affiliates to process Customer Personal Information, including transfers to any country or territory, as necessary for providing the Services and consistent with the Agreement.
Linksflow will notify Customer without undue delay if it believes a Customer instruction does not comply with Data Protection Laws, this DPA or the Agreement.
RIGHTS OF DATA SUBJECTS
If Linksflow receives a request from a Data Subject to exercise rights such as access, correction, restriction, objection, deletion, portability or similar rights under applicable Data Protection Laws, Linksflow will notify Customer without undue delay to the extent legally permitted.
Taking into account the nature of the processing and the Customer Personal Information, Linksflow will assist Customer through appropriate technical and organizational measures to help Customer respond to such requests.
PERSONNEL
Linksflow will ensure that personnel engaged in processing Customer Personal Information are informed of its confidential nature, bound by confidentiality obligations, and have received appropriate training.
Linksflow will also ensure that access to Customer Personal Information is limited to personnel performing Services in accordance with the Agreement.
SUBPROCESSORS
Customer authorizes Linksflow and its affiliates to appoint Subprocessors in accordance with this DPA.
Linksflow will ensure that each Subprocessor is bound by written obligations that are no less protective than those imposed on Linksflow under this DPA.
Linksflow will provide notice of new Subprocessors before they begin processing Customer Personal Information, and Customer may object in writing on reasonable good faith grounds within the applicable notice period.
SECURITY AND AUDIT
Linksflow will maintain appropriate technical and organizational measures designed to protect the security, confidentiality and integrity of Customer Personal Information against unauthorized or unlawful processing, accidental loss, destruction, damage, disclosure or access.
Upon written request, Linksflow will make available reasonably required information, certificates, documents and reports demonstrating compliance with this DPA, subject to the confidentiality obligations of the Agreement.
CUSTOMER DATA INCIDENT MANAGEMENT
Linksflow maintains security incident management policies and procedures and will notify Customer without undue delay, and in line with applicable Data Protection Laws, after becoming aware of a Data Security Incident affecting Customer Personal Information.
Linksflow will make reasonable efforts to identify the cause of the incident and take reasonably necessary remediation steps within its control.
RETURN AND DELETION OF CUSTOMER DATA
Upon Customer’s written request, Linksflow will return Customer Personal Information to Customer or delete it from its systems, except where retention is required by law or regulatory requirements, in which case retained data will remain confidential and secure.
INTERNATIONAL DATA TRANSFERS
Customer authorizes Linksflow, its affiliates and subprocessors to make international transfers of Customer Personal Information in accordance with this DPA and applicable Data Protection Laws.
Where required, such transfers will be governed by the applicable Standard Contractual Clauses, UK addendum, or any other lawful transfer mechanism recognized under applicable law.
TERMINATION
Termination of this DPA is governed by the Agreement.
GOVERNING LAW
Without prejudice to any governing law and jurisdiction clauses within applicable Standard Contractual Clauses, disputes arising under this DPA will be subject to the governing law and jurisdiction provisions stated in the Agreement.
SCHEDULE 1
DETAILS OF PROCESSING OF CUSTOMER PERSONAL INFORMATION
Subject Matter and Duration
The subject matter and duration of processing are set out in the Agreement and this DPA.
Nature and Purpose of Processing
Linksflow will process personal information as necessary to perform the Services pursuant to the Agreement and this DPA.
Types of Customer Personal Information
Customer may submit personal information including, but not limited to:
First and last name
Email address
Title
Contact information such as company, phone number, fax number and business address
IP address
Unique identifier
Categories of Data Subjects
Persons whose personal information is provided by Customer to Linksflow or its affiliates
End users who interact with a link or QR code
Customer Rights and Obligations
The rights and obligations of Customer and its affiliates are set out in the Agreement and this DPA.
SCHEDULE 2
STANDARD CONTRACTUAL CLAUSES
MODULE TWO
CONTROLLER TO PROCESSOR
These Standard Contractual Clauses are incorporated where required for transfers of personal data from a controller to a processor to a third country under applicable data protection law.
They govern, among other things:
Purpose and scope of the transfer
Effect and invariability of the Clauses
Third party beneficiary rights
Interpretation and hierarchy
Description of transfers
Instructions, purpose limitation and transparency
Accuracy, duration of processing and deletion or return of data
Security of processing
Sensitive data safeguards
Onward transfers
Documentation and compliance
Use of subprocessors
Data subject rights
Redress, liability, governing law and jurisdiction
For these Clauses, the parties agree that the governing law shall be the law of Germany and disputes may be resolved by the courts of Germany, without prejudice to any rights of data subjects under applicable law.
SCHEDULE 3
STANDARD CONTRACTUAL CLAUSES
MODULE THREE
PROCESSOR TO PROCESSOR
Where Customer acts as a processor and Linksflow acts as a subprocessor, the applicable processor to processor Standard Contractual Clauses are incorporated as required by applicable law.
These Clauses apply to international transfers of personal data to third countries and govern the same core areas as Schedule 2, adjusted for processor to processor transfers.
